1. Acceptance of Terms
By accessing or using any services provided by Hebner Solutions LLC ("Hebner Solutions," "we," "us," or "our"), including our website, consulting services, and any software systems we build or manage on your behalf, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Services Provided
Hebner Solutions provides the following types of services:
- Business consulting and strategic planning
- Custom software and business operating system development
- POS system configuration and integration
- Payment processing setup and optimization
- Route tracking, time tracking, and field operations tooling
- Market research and growth strategy
The specific scope of services for each engagement is defined in a signed quote, proposal, or agreement between the client and Hebner Solutions.
3. Payment Terms
- Payment is due as specified in your invoice or agreement unless otherwise agreed in writing.
- Work begins only after payment is received or a signed agreement is in place.
- Payments are processed securely via Stripe. By making a payment, you also agree to Stripe's terms of service.
- All fees are non-refundable once work has commenced, unless explicitly stated otherwise in your agreement.
- Late payments may result in work pauses or cancellation of services.
4. Consulting Services — No Guarantee of Results
Hebner Solutions provides consulting, research, and strategic planning based on real market data and proven methodologies. However, we make no guarantees of specific revenue outcomes, business growth, or other results. Success depends on client execution, available budget, market conditions, and other factors outside our control.
5. Intellectual Property
Upon full payment for a project, the client receives a license to use the deliverables (e.g., custom software, strategy documents) as intended. Hebner Solutions retains ownership of:
- Proprietary methodologies, frameworks, and templates used in service delivery.
- Any code, tools, or systems not exclusively built for the client.
Unless agreed otherwise, clients may not resell, sublicense, or redistribute deliverables.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, client data, pricing, and internal processes. This obligation survives the termination of the service relationship.
7. Client Responsibilities
- Provide accurate and complete information needed for service delivery.
- Respond to requests for feedback, approvals, or materials in a timely manner.
- Ensure that any content, data, or materials you provide do not infringe on third-party rights.
8. Limitation of Liability
To the maximum extent permitted by law, Hebner Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.
9. Termination
Either party may terminate a service engagement with written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Refunds for prepaid services are at the sole discretion of Hebner Solutions and governed by the terms of the signed agreement.
10. Governing Law
These Terms of Service are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the applicable courts of Illinois.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance.
